Background Note: Nuix, a provider of investigative software, saw a 40% increase in shares after the Federal Court of Australia’s ruling in its favor regarding a five-year dispute with former CEO Eddie Sheehy. Sheehy had claimed stock split rights during the company’s IPO in 2020, but Justice John Halley dismissed the claim as already dealt with in a 2019 Supreme Court decision. No “sale of business” occurred before 2010; thus, no options could be exercised. The ruling relieved investor concerns of a potential $183 million bill affecting the company’s finances. Nuix shares have risen 96% since the start of the year, reaching $1.28 on Tuesday’s trade.

Nuix Successfully Defends Legal Proceedings Brought by Former CEO

Sydney, Australia – Global software company Nuix (‘the Company’, ASX: NXL) advises that the Federal Court of Australia has delivered its judgment in relation to the proceedings brought by Mr. Edward Sheehy against Nuix.
The Federal Court this morning dismissed Mr. Sheehy’s claims. There is no requirement for Nuix to amend its options register and Mr. Sheehy is not entitled to any monetary compensation from the company.
Mr. Sheehy will have a period of time to appeal the decision. This announcement has been authorized by the Board of Nuix.
